Terms of Use GOEXME

GoExme User Agreement (website: https://goexme.io) - the official terms of use for the online cryptocurrency exchange platform, hereinafter referred to as the Trading Platform.

These Terms of Use, along with any amendments, applications, conditions, or documents directly incorporated therein, constitute a complete agreement between users and GoExme. In case of discrepancies between the provisions of these terms of use and the provisions of other documents, precedence is given to these Terms, unless otherwise specified. Any information provided on the Trading Platform, as well as oral or written statements, is not part of this agreement and has no legal force. The use of the Trading Platform and GoExme services is governed by these Terms.

By entering the Trading Platform, viewing or downloading information, and using the services provided by GoExme, the user confirms that they have read the Privacy Notice and fully accept these Terms. GoExme reserves the right to make changes to these Terms without prior notice. The user agrees to continue using the Trading Platform and GoExme services after such changes and acknowledges that they are independently responsible for periodically reviewing the Terms for updates.

Users are not granted any rights to the Trading Platform other than the right to use it in accordance with these Terms and applicable provisions governing specific services or sections of the Trading Platform. The user does not have the right to claim any rights to the Trading Platform.

Users are prohibited from using the Trading Platform and GoExme services if they are located, registered, or otherwise associated with the territories of the following countries: Afghanistan, American Samoa, United States Virgin Islands, Guam, Iran, Yemen, Libya, Pakistan, State of Palestine, Puerto Rico, Somalia, Democratic People's Republic of Korea, Northern Mariana Islands, United States, Syria, Russian Federation, Republic of Belarus, Republic of Sudan, Transnistria, Abkhazia, South Ossetia, Turkish Republic of Northern Cyprus, Western Sahara, Federal Republic of Ambazonia, Kosovo, and temporarily occupied territory of Ukraine, as well as any other country subject to sanctions by the United Nations Security Council or equivalents ("Prohibited Jurisdictions"). GoExme reserves the right to monitor access to services and the Trading Platform in these jurisdictions. If GoExme determines that a user is accessing the Trading Platform from Prohibited Jurisdictions or has provided knowingly false information about their location, citizenship, or residency, the company has the right to immediately deny the provision of Trading Platform services.

DEFINITIONS

In these Terms:
"API" means application programming interfaces.
"Applicable law" encompasses civil and common (precedent) law, statutes, regulations, conventions, decrees, directives, decisions, resolutions of local authorities, edicts, circulars, codes, orders, notifications, requirements, decrees, judicial injunctions, resolutions, rules, and court decisions of any governmental, quasi-governmental, legislative, administrative, or regulatory authority, courts, agencies, or associations that users or any GoExme member must adhere to in obtaining or providing Services.
"Participant" means any user of the Trading Platform.
"Services" include websites, applications, and any services provided by any GoExme member, including:
a) The GoExme Trading Platform, available at https://goexme.io;
b) Any material downloaded from GoExme websites;
c) Any information, content, or other materials provided by any GoExme member on various topics (including research results, market data, or blogs);
d) Any features, content, or services provided by third parties that may be associated with the websites, applications, and services listed above.
"Trading Platform" refers to the online platform for cryptocurrency exchange, located at https://goexme.io, and also includes subdomains, APIs, and other means of information owned by GoExme and related to this trading platform.

1. ACCESS RULES

When using our services, you are required to adhere to the following conditions:
a) You are prohibited from engaging in activities related to obtaining illegal income, including using services for cryptocurrency circulation, participating in darknet markets, financing terrorist activities, or money laundering. It is also forbidden to post or distribute prohibited or illegal materials and information, as well as to violate applicable laws.
b) You must not attempt to undermine the security and integrity of GoExme's computer systems or networks or the systems and networks of third parties providing services in conjunction with GoExme.
c) Using services in a way that may disrupt the provision of services or the operation of the trading platform, as well as obstructing other users from using services or the trading platform, is prohibited.
d) Do not attempt to gain unauthorized access to the computer system operating the trading platform or any other materials to which you do not have direct permission.
e) It is forbidden to transmit or upload files to the trading platform that may harm the computers or software of other users. Uploading offensive materials or violating laws, including materials or data protected by copyright or trade secret, without the right to use them, is also prohibited.
f) Do not attempt to modify, copy, adapt, reproduce, decompile, or reverse engineer computer programs used to provide our services and operate the trading platform, except when strictly necessary for the normal use of services.
g) You are required to maintain the confidentiality and security of all user names and passwords necessary to access the trading platform.
h) Upon detecting a security breach while using the trading platform, you must immediately report it to GoExme.

When using our services, limitations may apply, including but not limited to transaction volume limits and the number of calls through the corresponding API interface. Any such limitations will be communicated in advance.

By registering as a participant or accessing our trading platform and services, you confirm and warrant the following:
a) You accept these terms and agree to them.
b) You are at least 18 years old and have the legal capacity to enter into an agreement in accordance with applicable law.
c) You are the lawful owner (or an authorized representative of the lawful owner) of the funds you deposit into your GoExme account, and these funds are derived from legitimate sources.
d) Your use of our services does not violate applicable law.
e) You understand the risks associated with using our services and have sufficient experience and knowledge to comprehend these risks.
f) The information and documents provided by you during the identity verification process are true, authentic, and up-to-date.
g) The address you provide for cryptocurrency withdrawal belongs to you, and you have full control over this address.
h) You are prohibited from accessing our services if you are located, registered, or a citizen or resident of a country subject to sanctions, or if your institution is incorporated in such a jurisdiction.
i) You have not violated applicable law, been subject to sanctions, fines, or other measures for breaking the law, and have not received notices of potential violations.
j) You and your related parties are not subject to sanctions or owned or controlled by such persons, and you are not engaged in transactions that may lead to sanctions for you or your related parties.

GoExme reserves the right to verify your identity in accordance with applicable law.

You agree to provide necessary information and cooperate with us in the identity verification process and the purpose of using the trading platform.

We may freeze operations if we suspect suspicious activity or a violation of the terms of use. This may result in canceled transactions. We are not responsible for any losses incurred as a result of such actions.

We also reserve the right to close your operations at our discretion.

You are responsible for providing accurate data, including the address for fund withdrawal. We are not responsible for not receiving cryptocurrencies due to inaccurate data provided. You are also responsible for the proper formatting and clarity of instructions and operations directed to us. We disclaim responsibility for incorrect operations.

We are not responsible for losses or missed profits due to the termination of operations.

2. EXCHANGE OPERATIONS REGULATIONS

If there is a floating exchange rate in the exchange direction, it is recalculated only in the direction of cryptocurrency price decrease. The performer is not responsible for transaction delays caused by the client.

Recalculation occurs when the HTX exchange quotes decrease by 0.2%.

The final rate fixation consists of two stages: a) upon reaching the required number of confirmations in the network necessary for crediting a particular cryptocurrency, these values ​​are set individually for each exchange direction and correspond to actual parameters for reflection on the balance sheet. b) after the final stage of converting all funds received into the service account, which is done manually or using special bots. The maximum time for final conversion and rate fixation after the first stage is no more than 5 (five) minutes.

The online service is created to profit from exchange operations and converting funds in various payment systems. In case of events related to the decline in exchange quotes by more than 0.2%, protection against unprofitable transactions is automatically activated, corresponding to the change in the final price and its reduction in the online service to 1.5% of the actual HTX exchange rate.

The user agrees that for large exchange amounts that may affect conversion and quotes, the payout will be less than initially calculated in the exchange request.

The online service guarantees the corresponding payout amount in the created request in case of negative fluctuations of 0.2% or an increase in the cryptocurrency price according to HTX exchange quotes.

4. REPRESENTATIONS AND WARRANTIES

You confirm and warrant the following:
a) You have the right and authority to use and access our services and trading platform. This includes that your use of our services and trading platform does not violate the laws in the country where you are located, registered, or incorporated or are a citizen or resident of.
b) If you use our trading platform on behalf of or for the benefit of another person or organization, you have the necessary authority to do so, and that person or organization is responsible for your actions, including any violation of these terms.
c) You use our trading platform and services at your own risk and responsibility. You agree that GoExme is not responsible for any damage or losses resulting from your use of our trading platform and services.
d) Information provided on the trading platform is for general information purposes and is provided at your discretion. This information may be incomplete or inaccurate for your individual needs, and you should not rely on it without further inquiry. It is not an offer or recommendation to engage in trading activities or use our services in a particular way and does not take into account your investment objectives or financial position.
e) GoExme does not guarantee uninterrupted and error-free operation of our trading platform. Temporary disruptions or access issues may occur due to various factors such as telephone connections, computer networks, and the Internet. GoExme is not responsible for any such issues or interruptions.
f) You acquire the right to access and use our trading platform for commercial purposes and agree to our terms applicable to commercial organizations. In this regard, you acknowledge that consumer rights or laws designed to protect non-professional users do not apply to the services provided by GoExme.

5. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits GoExme's liability in the following cases:
a) in the case of fraud;
b) in the case of a breach that cannot be excluded or limited in accordance with applicable law.

However, with the above said and to the maximum extent permitted by applicable law:
a) GoExme is not liable for:
i) indirect or consequential losses;
ii) loss of profit, missed business opportunities, lost income, or damage to business reputation arising from contract breaches, harm (including liability for actions not conforming to reasonable standards in comparable circumstances (negligence)), violation of legal obligations, or other cases related to authorized or unauthorized use of services or these Terms, even if GoExme representatives or affiliated persons were informed of the possibility of such losses;
b) GoExme's aggregate liability under the contract, liability for harm, or other grounds (including liability for actions or inaction under negligence principles) related to the performance of obligations under these Terms in relation to one or several incidents or events, is limited to the total amount of cryptocurrency fees received by GoExme from you for trading operations performed by you on the Trading Platform directly within the last six months from the date of the incident or from the date of the first incident in a series of related incidents that led to your claims in accordance with these Terms.

6. PAYMENTS

All payments made by the trading engine of the Trading Platform and verified by GoExme are considered final. GoExme does not guarantee uninterrupted and error-free operation of the Trading Platform.

7. CONFIDENTIALITY

You undertake not to disclose to third parties Confidential Information that you obtain during the use of the Trading Platform.

For the purposes of these Terms, "Confidential Information" means any written information (including information provided in electronic form) or oral information that is confidential, a trade secret, or proprietary and is clearly identified as confidential at the time of disclosure, or which should reasonably be considered confidential due to the circumstances of its disclosure. However, Confidential Information does not include information that: (i) was already known to you before you received such information from us; (ii) becomes publicly available without your fault and is unrelated to a breach of obligations; (iii) is lawfully received from third parties without a breach of confidentiality obligations; or (iv) is independently developed by you. The obligations provided in this article do not prevent the disclosure of Confidential Information (A) to third parties with our written consent or (B) to comply with requests or demands from competent courts, arbitration courts, government or regulatory authorities, listing authorities, or for the purpose of complying with applicable law, provided that prior notice to GoExme is given to the extent required by applicable law.

8. FORCE MAJEURE

Neither party shall be responsible for a delay in the performance of its obligations due to any reason beyond its reasonable control, such as natural disasters, riots, wars, malicious actions, fires, power supply problems, and actions or orders of government authorities.

9. CONTINUATION OF INDIVIDUAL PROVISIONS

If any provision of these Terms is held by a court to be invalid, unenforceable, or illegal, it shall not affect the validity and enforceability of the other provisions. In the event that any provision is deemed unenforceable, you agree that GoExme may amend such provision to conform to the parties' intentions to the maximum extent permitted by applicable law.

10. APPLICABLE LAW

These Terms and all non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of the United Kingdom.
